Chamber Board Nomination Slate

We are pleased to present for your consideration the proposed slate of candidates, selected by the Chamber Board Nominating Committee, for the 2024-25 Chamber of Commerce Board of Director positions. We've assembled a strong slate of talented community and business members with diverse perspectives. 


Nomination Procedures

 

All unopposed nominees assume the offices for which they were slated effective July 17, 2024. There are three positions open for three-year terms. For clarification of the Chamber nominating process, please see below.

 

Chamber members in good standing may now nominate themselves to run for an open Chamber Board position. Such nomination shall be in writing and signed by the candidate, and be received by May 28th, 2024.

Nominating Process for the Board of Directors per our By-Laws


Section 1: Composition of the Board

The Board shall be comprised of nine (9) members, one third of whom shall be elected annually to serve for three (3) years. The government and policy-making responsibilities of the Chamber shall be vested in the Board, which shall control its property, be responsible for its finances, and direct its affairs.

 

Section 2: Selection and Election of the Board

  1. Nominating Committee. The Nominating Committee charged with selection of candidates for the annual Board election shall be made up of President, Vice President and immediate Past President. At the regular April meeting of the Board, the Nominating Committee shall present to the Board a slate of candidates, equal in number to the number of board openings, to serve the appropriate length terms to replace the Board members whose terms are expiring. Each candidate must be an active member in good standing as defined in Article II, Section 1, and must have agreed to accept the responsibility of a Board member. No Board member who has served two consecutive three-year terms is eligible for election for a third term, unless a period of one (1) year has elapsed, upon which their eligibility is restored.
  2. Publicity of Nominations. Upon receipt of the report of the Nominating Committee, the Chamber shall immediately notify the members of the names of persons nominated as candidates for the Board as well as the procedure for nominating additional candidates for member (s) of the Board.
  3.  Determination. Following the Chamber announcement and publicizing of the Nominating Committee's nominations for new Board members, Chamber members in good standing may nominate themselves to run for the Board.
  4. Such nominations shall be in writing and signed by the candidate, and must be received by the Board before the regular May Board meeting each year. Should no Chamber member nominate themselves for Board candidacy, the nominations shall be closed and the nominated slate of candidates shall be declared elected by the Board at the annual Board meeting in June.      

Should one or more Chamber members nominate themselves as a Board candidate, the names of all candidates shall be arranged alphabetically on an election ballot that shall contain voter instructions to vote for the appropriate number of candidates; furthermore the ballot shall instruct how and by when ballots are to be returned to the Chamber. The ballots shall be distributed by the Chamber to all active Chamber members in good standing within 10 business days after the regular May Board meeting, and the ballots shall be returned to the Chamber no less than one (1) day before the Chamber's annual meeting in June of each year.

 

During the Board meeting in May of each year, three (3) Board members shall be chosen to count the ballots for the purpose of determining the three (3) candidates with the most votes. The three Board members so designated to count votes shall not include any Board member who is a current election candidate. The Board shall, at its annual Board meeting in June, declare elected the three (3) candidates with the greatest number of votes.

 

It is the responsibility of the Board to ensure a fair, reasonable, and open election process. Toward that end, the Board shall develop reasonable and fair rules, processes and timelines to achieve that mandate.

 

Section 3: New Board Members

All newly elected Board members shall be seated at the regular July Board meeting and shall be participating members of the Board thereafter. Outgoing Board members shall continue to serve until the beginning of the regular July Board meeting.

 

Section 4: Board Vacancies

A member of the Board who shall be absent from twenty-five percent (25%) or more of regularly scheduled meetings in any twelve (12) month period shall be dropped from membership on the Board unless otherwise voted by the board. Vacancies on the Board, or among the officers, shall be filled with a member in good standing by a majority vote of the Board within forty-five (45) days of the vacancy. The Board position so appointed shall be open at the next Board election, and whoever is elected at the said regular election shall serve out the remainder of the original term.
